Graphfix Web Design – Terms & Conditions
These Terms & Conditions set out the agreement between Graphfix Web Design (“we”, “us”, “our”) and our clients (“you”, “your”) regarding the design, hosting, maintenance and other digital services we provide. By commissioning or using our services you accept and agree to these terms in full.
1. Web Design — One-Time Service
Payments
We begin each project by creating the homepage. After the homepage is approved, the first payment of 50% of the total quoted cost is due before further work continues. The remaining balance, plus any additional agreed services, is due on completion.
Full ownership of the website and any supplied design files transfers to you once the project has been fully paid for. Until full payment is received, designs, code and related materials remain the property of Graphfix Web Design. You remain legally responsible for the content published on your site at all times.
Service cancellation
If you cancel the project partway through development you will be charged for completed work. For example, if 5 pages of a 20-page site have been completed at the point of cancellation, you will be charged for a 5-page site.
Termination
Failure to comply with these terms or to pay outstanding fees may result in immediate suspension of your website and related services. Graphfix Web Design reserves the right to suspend or terminate any service at our sole discretion and without prior notice.
2. Monthly Subscription Plan Terms
Payments
All Pay-Monthly plans require an initial 15-month minimum contract. The first payment is due once the homepage has been completed and approved. You may choose to pay monthly, quarterly, biannually or annually.
We reserve the right to adjust monthly pricing after the initial 15-month period, or earlier if the scope, complexity or scale of the website changes significantly.
Ownership: Ownership of the website transfers to you after 36 months of continuous payments. Prior to that, the website remains the property of Graphfix Web Design, though you are responsible for its content.
Service cancellation
- You may cancel your subscription with one month’s notice.
- If you cancel during the initial 15-month contract you must pay the remaining months in full. The site will be taken offline and files will not be transferred to another hosting provider.
- If you cancel after 15 months but before 36 months, no further payments are required, but the site will be taken offline and files will not be transferable.
- If you cancel after 36 months, you may request the website files and databases for migration to another host without further payment.
If you wish to receive website files before 36 months have been paid, you must pay the outstanding months in full.
Termination
We reserve the right to suspend or terminate services for breach of these terms or unpaid fees. Upon termination we may delete all files and data associated with the service.
Development time
Pay-Monthly plans include 1 hour of development time per month. Unused monthly development time does not roll over. Additional development will be charged at our standard hourly rate.
3. Hosting & Maintenance Plan Terms
Payments
Hosting and maintenance plans are payable in arrears or in advance in increments of 3, 6, or 12 months. Refunds are not offered for cancellations partway through a prepaid period.
We may change plan prices at any time. If a price increase occurs during a prepaid period, you may be asked to pay an additional amount to reflect the new rate. If you do not accept the increase, you may request a refund for any remaining prepaid months.
Service cancellation
You may cancel with one month’s notice. Refunds are not offered for unused prepaid months. On cancellation you are free to migrate your site to another hosting provider.
Termination
Failure to comply with these terms or to pay outstanding fees may result in suspension or termination. We reserve the right to delete files and data associated with terminated services.
Development time
Where applicable, hosting plans include 1 hour of development time per month. Unused time does not roll over. Additional work will be charged at our standard hourly rate.
4. Digital Advertising
Payments
You are responsible for both the actual advertising spend and Graphfix Web Design’s service charge, which is 30% of ad spend. There is a minimum campaign ad spend of £500 (excluding our service charge). Payments may be made monthly or quarterly.
Service cancellation
You may cancel a campaign at any time. If cancellation occurs before the minimum £500 ad spend is reached, you must pay the service charge that would apply to the £500 minimum.
Termination
We reserve the right to suspend or terminate campaigns for breaches or unpaid fees. Upon termination we may delete campaign data and files without notice.
5. Misuse, Illegal or Unethical Use of Services
Graphfix Web Design will not support websites, designs or services used for any illegal, fraudulent, or unethical purposes. If we reasonably suspect misuse, we may suspend or permanently terminate services immediately and without notice.
Termination on these grounds does not remove your liability for fees already owed, including any minimum contractual commitments. We may report suspected illegal activity to appropriate authorities, including Action Fraud, Trading Standards or the Police.
6. General Terms
- All quotes are valid for 30 days unless otherwise stated.
- We may amend these Terms & Conditions at any time. Continued use of our services after changes indicates acceptance of the updated terms.
- These Terms & Conditions are governed by the laws of England & Wales.
